Client Terms of Agreement
This Client Terms of Agreement (the "Agreement") is entered into between Digital Marketing Ninja (referred to as "Digital Marketing Ninja" or "we") and [Client Name] (referred to as "Client" or "you") on this [Date].
Services
1.1 Digital Marketing Ninja agrees to provide the following services to the Client:
a) Website Development: Digital Marketing Ninja will build new websites, refresh existing ones, and update website content according to the Client's requirements.
b) Social Media Management: Digital Marketing Ninja offers three plans for social media management:
i) DIY (Do-It-Yourself): The Client provides content, and Digital Marketing Ninja manages it.
ii) DWY (Do-With-You): Digital Marketing Ninja collaborates with the Client to create content and manages it.
iii) DFY (Done-For-You): Digital Marketing Ninja creates all content and manages it.
c) Content Creation: Digital Marketing Ninja provides content creation services tailored to the Client's needs.
1.2 Digital Marketing Ninja will not impose any specific limitations or restrictions on the services provided unless otherwise agreed upon in writing.
Billing and Payment
2.1 The Client agrees to make payments to Digital Marketing Ninja according to the following terms:
a) All payments are due within 7 days of receiving the invoice.
b) For website development, a 50% upfront payment is required to initiate the project, with the remaining 50% due upon completion.
2.2 Digital Marketing Ninja will begin working on the project within 3 days of receiving the payment.
2.3 Payments shall be made in the currency specified by Digital Marketing Ninja and should be sent to the provided payment details.
Client Requirements and Feedback
3.1 Digital Marketing Ninja will provide access to a shared drive where the Client can upload and access the necessary content for the project.
3.2 At various milestones, Digital Marketing Ninja will seek approval from the Client before proceeding to the next phase of the project.
Revisions and Change Requests
4.1 Digital Marketing Ninja allows up to 3 revisions for all services.
4.2 Additional revisions or substantial changes requested by the Client may be subject to additional charges, as agreed upon between Digital Marketing Ninja and the Client.
Data Protection and Privacy
5.1 Digital Marketing Ninja will ensure the security of Client data and will not share it with any third parties outside the organization.
5.2 Client data may be shared with other team members within Digital Marketing Ninja for project execution purposes.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of WA, Australia, without regard to its conflict of laws principles.
Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
